By continuing to use the Website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner’s prior written permission

Nothing in these terms and conditions will: (a) limit or exclude our or your liability for death or personal injury resulting from our or your negligence, as applicable; (b) limit or exclude our or your liability for fraud or fraudulent misrepresentation; or (c) limit or exclude any of our or your liabilities in any way that is not permitted under applicable law.

21. We will not be liable to you in respect of any losses arising out of events beyond our reasonable control.

22. To the maximum extent permitted by law, strongmeridian.com accepts no liability for any of the following:

1. any business or personal losses, such as loss of profits, income, revenue, anticipated savings, business, contracts, goodwill or commercial opportunities;
2. loss or corruption of any data, database or software;
3. any special, indirect or consequential loss or damage

General

23. You may not transfer any of your rights under these terms and conditions to any other person. We may transfer our rights under these terms and conditions where we reasonably believe your rights will not be affected.

24. These terms and conditions may be varied by us from time to time. Such revised terms will apply to the Website from the date of publication. Users should check the terms and conditions regularly to ensure familiarity with the current version.

25. These terms and conditions contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place
in relation to the terms and conditions.

26. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.

27. If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.

28. Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

29. This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.

Cancellation / Refund

30. The Customer may cancel all or part of the order no later than 24 hours after placing an order. In this event, unless the circumstances fall under the terms of the Alteration clause, the Customer will be liable
to pay a reasonable cancellation charge of 50% to cover the strongmeridan.com expenses incurred as a result of such cancellation or changes.

If the customer cancels a booked one-on-one consultation appointment within 24 hours of said appointment, no refund will be issued. If the customer doesn’t cancel their subscription, it will renew automatically.

If the customer forgets to cancel their subscription and it renews automatically and then they wish to cancel, they may do so for a partial refund (refund – cost of processing/gateway fees). There will be a 24
hour window to get a partial refund. After the 24-hour window closes, the subscription fee is non refundable.

Create Order

31. You will be responsible for selecting the Products/Services you wish to buy, for supplying and maintaining a functioning e-mail address, for telling us how you wish to pay and for giving us any other information we request to enable us to fulfil your Order and comply with the Contract.

32. All information you submit to us must be adequate, relevant, accurate and up-to-date.

33. You may pay online by PayPal account or Debit/Credit card through Stripe or by any other means as set out on our  Website.

34. When you have completed your Order, you will be shown a copy on screen. It is your responsibility to check your Order carefully to identify any errors and to correct them prior to placing your Order. The Website allows you to cancel your draft Order and to edit any details.

Place Order

35. You may place your Order by clicking on the “Purchase Now” button or “Book Now” button.

36. We will acknowledge receipt of your Order on the Web site and by e-mail, in each case promptly. This is not our acceptance of your Order, but a confirmation of its receipt.

Confirmation of your Order

37. You may not assume we have accepted your Order until we send you a Confirmation email.

38. We will be entitled to refuse to accept your Order if in our sole discretion, we consider it necessary. If that happens we will let you know as soon as we can. If we accept your Order, we will send you a Confirmation email.

Prices

39. Currency – All prices are calculated in USD ($).

Payment

40. We will send you an invoice by e-mail in respect of the fee for the Products/Services ordered.

Supply

41. Subject to our obligation to supply the Products/Services at the price stated in a Contract and we reserve the right at any time to increase the list prices of the Products/Services and to change the range of Products/Services available. We will endeavor to give you as much notice as we can of changes to the range and any increase in prices.

Alteration of Order

42. You will not be entitled to alter an Order after it has been accepted by us. If you request any alterations to an Order accepted by us, we reserve our right to either reject such alterations or if acceptable to us, to charge you for any additional work undertaken by us and any costs and expenses incurred as a result of such alterations. Any such agreement shall only be binding on us if expressly confirmed by us in writing.

Subscription and Membership

43. Subscriptions (recurring payments) for services like membership are created the same way as a regular order. Subscription and membership can be managed by the user from a user account at any time.

Please read these Terms and Conditions (“Terms”, “Terms and Conditions”) carefully before using the strongmeridian.com website (the “Service”) operated by Strong Meridian LLC (“us”, “we”, or “our”). Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms.

These Terms apply to all visitors, users and others who wish to access or use the Service. By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you do not have permission to access the Service. If you wish to purchase any product or service made available through the Service (“Purchase”), you may be asked to supply certain information relevant to your Purchase including, without limitation, your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

You represent and warrant that: (i) you have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and that (ii) the information you supply to us is true, correct and complete.

We strongly advise you to read the terms and conditions and privacy policies of any third party web sites or services that you visit. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and  without limitation, including but not limited to a breach of the Terms.

Basic Memberships, Circle Memberships and Inner Circle Memberships include access to “Functional Medicine For Everyone” video classes. Basic Memberships, Circle Memberships and Inner Circle Memberships do not include complimentary access to any programs that are designed to drip/drop weekly or bi-weekly content, (hence called drip/drop programs). All drip/drop programs delivering weekly/biweekly content are only available to purchase to the general public; a subscription membership is required to  purchase these programs.

Memberships of any tier may purchase drip/drop programs at their advertised price at any time. If you wish to terminate your account, you may simply discontinue using the Service. However you will be held liable and responsible for paying for the Service for the full price and duration of time that you agreed to when signing up.

• If you sign up for a one month membership and wish to cancel prior to completion of the month, you will not be refunded.
• If you sign up for a 6 month plan or annual plan and wish to cancel prior to the completion of the respective duration of time, you will not be refunded.
• By signing up for the 6 month plan you agree to pay for the full 6 months. 
• By signing up for the annual plan you agree to pay for the full 12 months. 
• Regardless of your participation and use of the Service.

• If you purchase a 6 or 12 month plan you are fully and completely responsible for mailing in biological samples for biomeridian testing in a timely manner. 
• If you purchase a 6 or 12 month plan and do not mail in biological samples for testing services included in your 6 or 12 month plan, within your 6 month or 12 month membership time frame, you will forfeit these testing services. 
• Testing services included with a 6 or 12 month membership must be used up during the 6 or 12 month membership time. 
• Any unused tests will not carry over to the next membership. Any unused testing services will not be refunded.

It is the sole responsibility of the member to schedule an appointment or “one-on-one” consultation with strongmeridian.com to review any and all test results. This appointment or “one-on-one” consultation is included at no extra charge for members during their 6 and 12 month membership. 6 month memberships include 4 Bio-Energetic Qest4 supplement scans and thus includes 4 Bio-Energetic Qest4 supplement review appointments or “one-on-one” consultations at no additional cost.

Any and all consultations, appointments, or one-on-one consultations beyond the 4 Bio-Energetic Qest4 supplement scan test result appointments are optional and will incur an additional fee of $111 per hourly appointment. 12 month memberships include 3 Bio-Energetic Qest4 whole body scans and thus includes 3 Bio-Energetic Qest4 whole body review appointments or “one-on-one” consultations at no additional cost.

Any and all consultations, appointments, or one-on-one consultations beyond the 3 Bio-Energetic Qest4 supplement scan test result appointments are optional and will incur an additional fee of $111 per hourly appointment.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. If you purchase a drip/drop program and wish to cancel the program a 50% refund shall be granted within a 24 hour purchase window. If you purchase a drip/drop program and wish to cancel the program prior to completion, no refund of any type will be granted after the 24 hour initial purchase.

These Terms shall be governed and construed in accordance with the laws of the United States without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire
agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.

Terms of Enrollment

47. I, the undersigned, acknowledge that I have read, understand, and agree to be bound by these Terms of Enrollment with Strong Meridian LLC and its partners, affiliates, and assigns (together “Strong Meridian
LLC”).

1. I hereby attest I am 18 years or older and have the capacity to agree to these Terms of Enrollment.
2. I understand that my participation in any courses, services or memberships provided by Strong Meridian LLC (the “courses, services or memberships”) is expressly conditioned upon my agreement to these Terms of Enrollment.
3. I have reviewed, I understand, and I agree to be bound by the Medical Disclaimer and the Terms of Service, and each as they may be amended from time to time. I understand Strong Meridian LLC may revoke my access to any courses, services or memberships or any courses, services or memberships-related community forum or platform at any time for failing to abide by the Terms of Service or for any reason, at its sole discretion.
4. I understand Strong Meridian LLC and its personnel do not function as medical providers. Various content provided in any courses, services or memberships may be provided by individuals with training and/or certifications in various fields including eastern and western medical fields, but as content providers for Strong Meridian LLC, they are not functioning as medical providers and are in no way diagnosing or treating disease, medical, or mental health conditions. The Content provided by Strong Meridian LLC should not be treated as a substitute for the services of physicians or licensed medical providers.
5. All courses, services or memberships materials, procedures, policies, and standards, all teaching manuals, all teaching aids, all supplements and the like that have been or will be made available by Strong Meridian LLC or its designated facilitators, or any other source, oral or written, are for personal use in or in conjunction with this training program only. Any courses, services or  memberships content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of Strong Meridian LLC, or its designated agent. The information contained in program material is strictly for  educational purposes. Any violation of Strong Meridian LLC’s Terms of Enrollment or Terms of Use regarding content usage shall result in the immediate termination of your enrollment without refund.
6. I understand and agree Strong Meridian LLC makes no representations, warranties, claims, or guarantees regarding the efficacy of any of its courses, services or memberships or any course, service or membership recommendations. I understand and agree that participating in any courses, services or memberships does not guarantee any result. I understand I cannot hold Strong Meridian LLC  responsible for the accuracy or efficacy of the Content.
7. I hereby expressly waive and release any and all claims, now known or hereafter known, against Strong Meridian LLC, and its officers, directors, owners, employees, agents, affiliates, successors, and assigns (collectively, “Releasees”), on account of injury, disability, death, or property damage arising out of or attributable to my participation in any of the courses, services or memberships, whether arising out of the ordinary negligence of Strong Meridian LLC or any Releasees or otherwise. I covenant not to make or bring any such claim against Strong Meridian LLC or any other Releasee, and forever release and discharge Strong Meridian and all other Releasees from liability under such claims. Furthermore, I hereby agree I shall defend, indemnify, and hold harmless Strong Meridian against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including attorneys’ fees, fees, the costs of enforcing any right to indemnification under this Release, and the cost of pursuing any insurance providers, awarded against Strong Meridian LLC arising out or resulting from any claim of a third party related to my participation in any courses, services or memberships, including any claim related to my own negligence or the ordinary negligence of Strong Meridian LLC.
8. By signing below, you agree you are responsible for all expenses associated with any courses, services or memberships and agree not to hold Strong Meridian LLC liable for any costs or damages related to any courses, services or memberships.

48. BY CONSENTING TO THESE TERMS OF ENROLLMENT, I ACKNOWLEDGE THAT I HAVE READ AND UNDERSTOOD ALL OF THE TERMS OF THESE TERMS OF ENROLLMENT AND THAT I AM VOLUNTARILY GIVING UP SUBSTANTIAL LEGAL RIGHTS, INCLUDING THE RIGHT TO SUE Strong Meridian LLC.
